1. Introduction

Welcome to Opus Vidya, operated by Ascircle Solutions Private Limited ("we," "us," or "our"). These Terms and Conditions ("Terms") govern your access to and use of our white-label education content, study materials, mock tests, question banks, and related services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you may not access or use our Services.

2. Definitions

• "Client" refers to any EdTech platform, coaching institute, educational organization, or publisher that purchases or licenses our Services.
• "Content" refers to all study materials, mock tests, question banks, assessments, and educational resources provided by Opus Vidya.
• "White-Label" refers to content that can be rebranded and published under the Client's own brand identity.
• "End Users" refers to students or learners who access the Content through the Client's platform.

3. Services Provided

Opus Vidya provides the following services:

• White-label study materials and educational content
• Mock tests and practice assessments
• Question banks for various subjects and competitive exams
• Daily learning services and current affairs updates
• Custom content creation services
• LMS integration and format conversion services

4. Licensing and Usage Rights

4.1 License Grant

Upon payment and subject to these Terms, we grant Clients a non-exclusive, non-transferable license to use, reproduce, and distribute the Content under their own branding for the duration specified in the applicable service agreement.

4.2 White-Label Rights

Clients have the right to rebrand and publish the Content under their own name without attribution to Opus Vidya, subject to the terms of their specific licensing agreement.

4.3 Restrictions

Clients may not:

• Resell or sublicense the Content to third parties without written permission
• Modify the Content in a way that misrepresents its educational value
• Use the Content for purposes other than educational delivery
• Share login credentials or access with unauthorized parties

5. Intellectual Property Rights

All Content, including but not limited to text, graphics, logos, images, and software, is the property of Ascircle Solutions Private Limited and is protected by Indian and international copyright laws.

The license granted to Clients does not transfer ownership of the intellectual property. We retain all rights, title, and interest in and to the Content.

6. Payment Terms

6.1 Pricing

Pricing for our Services is provided in individual quotations and service agreements. All prices are in Indian Rupees (INR) unless otherwise specified.

6.2 Payment Schedule

Payment terms will be specified in the service agreement. Typical payment schedules include upfront payment, milestone-based payments, or subscription-based billing.

6.3 Late Payments

Late payments may result in suspension of Services and may incur interest charges as specified in the service agreement.

7. Content Quality and Updates

We strive to maintain high-quality, accurate, and up-to-date Content. However, we do not guarantee that the Content is error-free or that it will meet specific educational outcomes.

We regularly update Content to reflect curriculum changes and industry trends. Clients with active subscriptions receive these updates as part of their service.

8. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary information shared during the course of the business relationship.

Clients agree not to disclose our pricing, Content structure, or business processes to third parties without written consent.

9. Limitation of Liability

To the maximum extent permitted by law, Opus Vidya and Ascircle Solutions Private Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from the use of our Services.

Our total liability shall not exceed the amount paid by the Client for the specific Services in question.

10. Termination

Either party may terminate the service agreement with written notice as specified in the agreement. Upon termination:

• Client must cease all use of the Content
• Outstanding payments become immediately due
• License rights are revoked
• Confidentiality obligations continue

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in Bangalore, Karnataka, India.

12. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our website. Continued use of our Services after changes constitutes acceptance of the modified Terms.

Material changes will be communicated to active Clients via email.
